法院认定肖建华和明天控股发售主动管理类集合资金信托产品、超出发售比例和销售规模销售投资型保险产品、发售个人端及法人端理财产品，非法吸收资金3116亿余元人民币；擅自运用客户资金及受托财产1486亿余元；通过直接或间接购买信托计划的方式将保险资金转移至明天控股支配使用，违法运用资金1909亿余元。明天控股将上述犯罪违法所得主要用于收购金融机构、证券交易、海外投资等。
此外，被告人与被告单位为逃避金融监管及谋取其他不正当利益，向多名国家工作人员行贿股份、房产、现金等财物，共计折合人民币6.8亿余元。有关案件另案处理。
法院据此认定肖建华与明天控股的行为构成非法吸收公众存款罪、背信运用受托财产罪、违法运用资金罪、单位行贿罪，“严重破坏金融管理秩序，严重危害国家金融安全，严重侵害国家工作人员的职务廉洁性，应依法严惩”。
但法庭同时认为，“明天控股、肖建华具有自首、认罪认罚、配合追赃挽损等情节，肖建华还具有立功表现，依法可以从宽处罚”。
